Canady Investments

How much equity does this acquisition actually need?

Senior debt, a seller note, and your cash have to add up to the purchase price plus fees and working capital. See the equity check the structure leaves you with.

Example — a $2.2M purchase with $620k of adjusted earnings, 70% senior advance capped at 3x earnings, a 10% seller note, $350k of buyer cash. Illustrative only, and not a quote. Every multiple and advance rate above is an INPUT YOU CONTROL, not a market fact — change them to match a term sheet you have actually been offered. Coverage below 1.25x is flagged because that is the floor most acquisition lenders, SBA 7(a) included, underwrite to. If the structure leaves an equity gap, closing it with outside investors raises a securities question that has to be reviewed before anything is raised.
